ANNOUNCEMENT DIGITAL NOMAD VISA

The Migration Department has opened the application process for residence permits under the “Cyprus Digital Nomad Visa” scheme. The maximum number of permits that can be granted remains at 500.

The “Cyprus Digital Nomad Visa” scheme allows nationals from non-EU and non-EEA countries, who can work remotely using telecommunications technology, to reside temporarily in the Republic of Cyprus and work for an employer registered abroad or provide services remotely for companies or clients located outside the Republic of Cyprus.

The scheme aims to strengthen Cyprus as a center for the provision of electronic services, where, combined with other advantages offered by Cyprus, the attraction of digital nomads will contribute to the development of the business ecosystem and consequently, to the economic development of the country. The introduction of the “Cyprus Digital Nomad Visa” is part of the Strategy for Attracting Businesses for Activities and/or Expansion of their Activities in the Republic of Cyprus.

IMPORTANT ANNOUNCEMENT – SIGNIFICANT CHANGES IN THE FRAMEWORK FOR IMPLEMENTING THE REGISTER OF BENEFICIAL OWNERS

The Department of Registrar of Companies and Intellectual Property (DRCIP) informs that on 06/12/2024, the Prevention and Suppression of Money Laundering (Amendment) (No.2) Law of 2024, Law No. 141(I)/2024, was published, and the main amendments are analyzed below:

  1. Fines will only be imposed on companies or other legal entities that refuse, fail, or neglect to fulfill their obligations to submit information about the ultimate beneficial owners (UBOs) as required by the provisions of Law 188(I)/2007 and its related Regulations.
    • Fines will no longer be imposed on every director and secretary individually.
    • However, a company director or managing director who refuses, fails, or neglects to fulfill the obligations regarding the submission of information on UBOs will be jointly and/or severally liable with the company for the payment of the fine imposed on the company.
  1. Fines have been revised as follows:
    • €100 for the first day of non-compliance.
    • €50 for each additional day of non-compliance.
    • Maximum total fine: €5,000 per company or other legal entity.
  1. Introduction of new provisions granting the following powers to the Registrar of Companies:
    • To issue Regulations (Administrative Decision – AD) establishing the procedure for administrative review and/or submission and review of appeals against decisions imposing fines.
    • To strike off a company or other legal entity from the business registry for refusing, failing, or neglecting to update the UBO information, following the procedures set out in Article 327 of the Companies Law or subsection (5) of Article 57 of the Partnerships and Trade Names Law.
    • To request a court order compelling any person to comply with the obligations set out in Article 61A of Law 188(I)/2007 and its related Regulations.
  1. Extension and Withdrawal of Fines:
    Taking into account the high fines, the size of companies in Cyprus (which are mostly Small and Medium Business), the high compliance rates achieved, and the compensatory measures included in the aforementioned amendment, the executive authority, in consultation with the House of Representatives, decided to grant an extension for the submission of UBO information for all Companies and Other Legal Entities until 31 January 2025.
    • To implement this decision, the Registrar of Companies issued Amendment Regulation AD423/2024 on 16/12/2024.
    • The same Regulation also extends the deadline for completing the verification of information for the year 2024 until 31 March 2025.
    • As of 1 February 2025, non-compliance with UBO information submission will result in the imposition of administrative and other penalties, as provided in Law 188(I)/2007, as amended and enacted on 16/12/2024, and Regulation AD112/21, as amended and in force.
  1. Withdrawal and Refund of Fines Imposed Since 01/04/2024:
    • Fines imposed since 01/04/2024 are withdrawn, and payments already made will be refunded as follows:
    • For online payments made via JCC, the amount will be refunded directly to the card used, without further action required by the affected party.
    • For payments made at the Registrar’s Office, the amount will be refunded to the applicant’s bank account upon submission of Form KE1, accompanied by the authorization form for payments via FIMAS, a copy of the payment receipt, and the International Bank Account Number (IBAN) to be credited, as outlined in the Authorization Form.
  1. Electronic UBO Register:
    • The UBO Register is electronic, and updates must be made exclusively via the online portal: https://ubo.meci.gov.cy.

ΣΗΜΑΝΤΙΚΗ ΑΝΑΚΟΙΝΩΣΗ – ΣΗΜΑΝΤΙΚΕΣ ΑΛΛΑΓΕΣ ΣΤΟ ΠΛΑΙΣΙΟ ΕΦΑΡΜΟΓΗΣ ΤΟΥ ΜΗΤΡΩΟΥ ΠΡΑΓΜΑΤΙΚΩΝ ΔΙΚΑΙΟΥΧΩΝ

Το Τμήμα Εφόρου Εταιρειών και Διανοητικής Ιδιοκτησίας (ΤΕΕΔΙ) ανακοίνωσε την ψήφιση του Νόμου 141(Ι)/2024, ο οποίος τροποποιεί τη νομοθεσία σχετικά με την καταπολέμηση της νομιμοποίησης εσόδων από παράνομες δραστηριότητες. Οι σημαντικότερες αλλαγές είναι:

1. Χρηματικές Επιβαρύνσεις και Ευθύνες:

  • Οι χρηματικές επιβαρύνσεις θα επιβάλλονται αποκλειστικά στις εταιρείες ή νομικές οντότητες που δεν συμμορφώνονται με την υποχρέωση υποβολής στοιχείων των πραγματικών δικαιούχων. Δεν επιβάλλονται επιβαρύνσεις σε διευθυντές ή γραμματείς.
  • Οι διευθυντές παραμένουν αλληλέγγυα και ξεχωριστά υπεύθυνοι για την πληρωμή της χρηματικής επιβάρυνσης που επιβάλλεται στην εταιρεία.

2. Αναθεώρηση Χρηματικών Επιβαρύνσεων:

  • Ημέρα Παράβασης: €100 την πρώτη ημέρα.
  • Καθημερινή Συνέχιση Παράβασης: €50 ημερησίως.
  • Ανώτατο Όριο: €5,000 ανά εταιρεία.

3. Νέες Εξουσίες της Εφόρου Εταιρειών:

  • Έκδοση Οδηγίας για διοικητική επανεξέταση και ένσταση κατά αποφάσεων επιβολής επιβαρύνσεων.
  • Διαγραφή εταιρειών που δεν υποβάλλουν στοιχεία για πραγματικούς δικαιούχους, ανάλογα με τη διαδικασία του άρθρου 327 του περί Εταιρειών Νόμου.
  • Υποβολή αιτήματος στο Δικαστήριο για προστακτικό διάταγμα συμμόρφωσης.

4. Παρατάσεις Υποβολής Στοιχείων:

  • Νέα καταληκτική ημερομηνία υποβολής στοιχείων: 31 Ιανουαρίου 2025.
  • Παράταση επιβεβαίωσης στοιχείων έτους 2024: 31 Μαρτίου 2025.

5. Ανάκληση και Επιστροφή Επιβαρύνσεων:

Οι χρηματικές επιβαρύνσεις που επιβλήθηκαν από 01/04/2024 ανακαλούνται και τα σχετικά ποσά επιστρέφονται ως εξής:

  • Διαδικτυακές Πληρωμές μέσω JCC: Αυτόματη επιστροφή στην κάρτα.
  • Πληρωμές στο Ταμείο του ΤΕΕΔΙ: Επιστροφή στον τραπεζικό λογαριασμό του αιτητή με την υποβολή του εντύπου ΚΕ1 και άλλων απαραίτητων εγγράφων.

6. Ηλεκτρονική Υποβολή:

Η ενημέρωση του Μητρώου Πραγματικών Δικαιούχων πραγματοποιείται αποκλειστικά μέσω του συνδέσμου:

Cyprus Arbitration & Mediation Forum (CAMF)

ΕΤΗΣΙΑ ΕΠΙΒΕΒΑΙΩΣΗ ΣΤΟΙΧΕΙΩΝ ΠΡΑΓΜΑΤΙΚΩΝ ΔΙΚΑΙΟΥΧΩΝ (ΠΔ) ΣΤΟ ΣΥΣΤΗΜΑ ΤΟΥ ΜΗΤΡΩΟΥ ΠΡΑΓΜΑΤΙΚΩΝ ΔΙΚΑΙΟΥΧΩΝ (ΜΠΔ)

ΠΡΟΣΟΧΗ: Η επιβεβαίωση των στοιχείων των ΠΔ στο ΜΠΔ είναι υποχρεωτική ακόμα και στην περίπτωση που τα στοιχεία των Π.Δ. έχουν καταχωρηθεί κατά την διάρκεια του τρέχοντος έτους (2024). Παρακαλώ όπως επικοινωνήσετε άμεσα με τον Νομικό Συμβουλο ή/και Ελεγκτή ή/και Λογιστή του εκάστοτε Νομικού Προσώπου και όπως διευθετήσετε την εν λόγω ενέργεια της επιβεβαίωσης των στοιχείων των ΠΔ στο ΜΠΔ προς αποφυγή σχετικών επιπτώσεων.

Το Τμήμα Εφόρου Εταιρειών και Διανοητικής Ιδιοκτησίας (ΤΕΕΔΙ) ενημερώνει όλες τις εταιρείες που έχουν ιδρυθεί ή εγγραφεί σύμφωνα με τον περί Εταιρειών Νόμο, Κεφ. 113, τις Ευρωπαϊκές Δημόσιες Εταιρείες Περιορισμένης Ευθύνης (SE), καθώς και τους Συνεταιρισμούς (εφεξής Οργανισμοί), καθώς και τους αξιωματούχους/συνεταίρους τους, ότι από την 1η Οκτωβρίου 2024 έως και την 31η Δεκεμβρίου 2024 θα πρέπει να εισέλθουν στο σύστημα του ΜΠΔ και να επιβεβαιώσουν τα στοιχεία των ΠΔ, των ανώτατων διοικητικών στελεχών ή της δέουσας επιμέλειας (ό,τι ισχύει ανά περίπτωση).

Σε περίπτωση που η επιβεβαίωση στοιχείων δεν πραγματοποιηθεί έως τις 31 Δεκεμβρίου 2024, ανεξάρτητα από την πιθανή ποινική ευθύνη ή δίωξη οποιουδήποτε προσώπου, η εταιρεία και κάθε αξιωματούχος/συνέταιρος θα επιβαρύνονται με πρόστιμο 200 ευρώ (€200) την πρώτη ημέρα καθυστέρησης και επιπλέον 100 ευρώ (€100) για κάθε επόμενη ημέρα, με ανώτατο όριο τις 20.000 ευρώ (€20.000).

Εάν κατά την περίοδο από 1/10 έως 31/12 του τρέχοντος έτους γίνει νέα καταχώριση ή αλλαγή των στοιχείων ΠΔ ή των ανώτατων διοικητικών στελεχών ή της δέουσας επιμέλειας της εταιρείας, θα πρέπει να πραγματοποιηθεί αρχικά η καταχώρηση ή η αλλαγή και αμέσως μετά η επιβεβαίωση. Η επιβεβαίωση θα πρέπει να γίνει μία φορά μέσα στο συγκεκριμένο χρονικό διάστημα και δεν χρειάζεται να επαναληφθεί, εκτός εάν υπάρξουν μεταγενέστερες αλλαγές.

ANNUAL CONFIRMATION OF BENEFICIAL OWNERS (UBO) DETAILS IN THE BO REGISTRY SYSTEM (BO System)

ATTENTION: The confirmation of the details of the UBOs in the BO System is mandatory even in the case that the details of the UBOs. have been submitted during the current year (2024). Please contact immediately the Legal Counsel and/or Auditor and/or Accountant of the respective Legal Entity and arrange the aforementioned action of confirming the details of the UBOs in the BO System in order to avoid relevant consequences.

The Department of the Registrar of Companies and Intellectual Property informs that all companies that have been established or registered in accordance with the Companies Law, Chapter 113, European Public Limited Liability Companies (SE), as well as Partnerships (hereinafter Organizations), as well and their officers/partners, that from 1st  of October 2024 to 31st December 2024 they should enter the BO system and confirm the details of the UBOs, management official or due diligence (as applicable).

In the event that the confirmation of information is not finalized by 31st December 2024, regardless of the possible criminal liability or prosecution of any person, the company and each officer/partner will be fined 200 euro (€200) on the first day of delay and an additional 100 euro (€100) for each subsequent day, with a maximum of 20,000 euro (€20,000).

If during the period from 1/10 to 31/12 of the current year there is a new registration or change of the UBO details or management officials or due diligence of the company, the registration or change should be done first and immediately after to proceed with the confirmation. Confirmation should be done once within the specified time period and will not have to be repeated during the current year unless there are subsequent changes.
